These Terms of Service ("Terms") govern your access to and use of the Tallo platform, websites, and related services (collectively, the "Services") provided by Tallo Inc. ("Tallo," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

Your account

To use most of the Services you must create an account. You agree to provide accurate, current, and complete information and to keep your account information up to date. You are responsible for safeguarding your credentials and for all activity that occurs under your account.

You must be at least 18 years old and authorized to act on behalf of your organization to register for a Tallo account.

Subscriptions and payment

Access to paid Services is sold on a subscription basis. Fees, billing frequency, and any minimum commitment will be set out in your order form or in-product purchase flow. Unless otherwise stated, fees are non-refundable and exclusive of taxes.

If payment is not received when due, we may suspend or terminate your access to the Services after providing reasonable notice.

Customer data

You retain all rights to data you or your users submit to the Services ("Customer Data"). You grant Tallo a limited, worldwide license to host, process, and transmit Customer Data solely to provide and improve the Services and as otherwise permitted under our Privacy Policy.

You are responsible for the accuracy, quality, and legality of Customer Data and for ensuring you have the necessary rights and consents to submit it to the Services.

Acceptable use

You agree not to:

  • Use the Services to violate any applicable law or regulation.
  • Upload or transmit malware, harmful code, or unauthorized content.
  • Attempt to gain unauthorized access to the Services or interfere with their operation.
  • Reverse engineer, decompile, or copy the Services, except as expressly permitted by law.
  • Resell, sublicense, or use the Services to build a competing product.

Third-party integrations

The Services may interoperate with third-party products such as payroll, benefits, and identity providers. Your use of those third-party services is governed by their own terms. Tallo is not responsible for any third-party service and may modify or discontinue an integration at any time.

Confidentiality

Each party agrees to protect the other party's confidential information using the same care it uses for its own confidential information and to use it only as needed to perform under these Terms. This obligation does not apply to information that becomes publicly available without breach of these Terms.

Intellectual property

Tallo and its licensors retain all right, title, and interest in and to the Services, including all software, content, and trademarks. No rights are granted to you other than those expressly set forth in these Terms.

Warranties and disclaimers

Except as expressly stated in a written agreement, the Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Each party's aggregate liability arising out of or related to these Terms will not exceed the amounts paid by you to Tallo for the Services in the twelve months preceding the event giving rise to the claim.

Indemnification

You agree to defend, indemnify, and hold harmless Tallo from any third-party claims, damages, or expenses arising out of your use of the Services in violation of these Terms or applicable law, or your Customer Data.

Termination

Either party may terminate these Terms for material breach if the breach is not cured within 30 days of written notice. Upon termination, your right to access the Services will cease. Sections that by their nature should survive termination will survive.

Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice. Your continued use of the Services after the changes take effect constitutes acceptance of the updated Terms.

Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising out of or related to these Terms will be resolved in the state or federal courts located in Delaware, and the parties consent to the personal jurisdiction of those courts.
